Terms & Conditions

These Terms & Conditions govern your use of the Qubicle platform and the purchase of Services from Qubicle MetaAdvisory Ltd. Please read them carefully before accessing or using the Platform or placing a Service Order. By creating an account, you agree to be legally bound by these terms.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Qubicle MetaAdvisory Ltd, a company incorporated under the laws of Nigeria ("Qubicle", "we", "us", or "our").

By creating an account, subscribing to a plan, requesting or purchasing a Service, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy.

If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity.

2. Definitions

Platform:The Qubicle website, web application, APIs, dashboards and related digital services operated by Qubicle MetaAdvisory Ltd.
User:Any individual or entity that registers an account on or otherwise uses the Platform.
Subscriber:A User who has activated a paid subscription tier offered by Qubicle.
Service:A business or professional service offered by Qubicle through the Platform, which may include company registration, legal-document coordination, HR, accounting, business support, technology, compliance-support and related services.
Service Order:A request by a User to purchase a specific Service from Qubicle, accepted and confirmed by Qubicle.
Qubicle Personnel:Employees, contractors or other internal resources engaged by Qubicle to perform or support Services.
Professional Provider:An external vetted professional, specialist, firm, vendor or service provider engaged by Qubicle to perform or support all or part of a Service on Qubicle's behalf.
Service Provider:Qubicle MetaAdvisory Ltd, which contracts with the User for the Service. A Professional Provider engaged by Qubicle does not become the User's contracting service provider unless Qubicle expressly states otherwise in writing.
SLA:The applicable service timeline, service scope and/or service quality commitments communicated for a Service Order.
Review Period:The 72-hour period, where applicable, during which a User may review a delivered Service and notify Qubicle of a material issue.
Service Delivery Guarantee:Qubicle's contractual commitment, subject to these Terms, to remedy or refund an eligible Service where Qubicle fails to deliver the Service as agreed.

3. Platform and Service Model

Qubicle is a business services and service-execution platform. Users purchase Services from Qubicle, and Qubicle remains responsible to the User for managing and delivering each accepted Service Order.

Qubicle is not a marketplace that merely introduces a User to an independent provider for a separate contract between those parties. Unless expressly disclosed otherwise, the User contracts with Qubicle for the Service.

Qubicle may fulfil a Service Order in one or more of the following ways:

  • through Qubicle Personnel with the relevant skills and capacity;
  • through one or more vetted Professional Providers engaged by Qubicle; or
  • through a combination of Qubicle Personnel, Professional Providers, technology and third-party institutions.

Qubicle selects and manages the resources used to fulfil the Service Order. The use of a Professional Provider does not transfer Qubicle's contractual responsibility for the Service to that provider.

Qubicle contracts directly with Users for Services offered through the Platform and remains responsible for managing each accepted Service Order. Professional Providers engaged by Qubicle act under separate arrangements with Qubicle and do not ordinarily contract directly with Users. Certain Services may require work by independently licensed or regulated professionals, or decisions by government agencies, banks, regulators or other third parties. Qubicle may coordinate such work through appropriately qualified professionals, but does not represent itself as a licensed law firm, accounting firm, bank or other regulated institution unless expressly stated and legally authorised.

4. Eligibility & Account Registration

To use the Platform, you must:

  • Be at least 18 years of age.
  • Have legal capacity to enter into binding contracts in your jurisdiction.
  • Provide accurate, complete and current information.
  • Maintain the security of your account credentials.
  • Not be subject to sanctions, embargoes or restrictions that prohibit use of the Services.

You are responsible for activity occurring through your account and must promptly notify us at security@onqubicle.com of suspected unauthorised access. Qubicle may suspend or terminate accounts that provide false information, violate these Terms or present fraud, compliance or security risks.

5. Subscription Tiers

Qubicle may offer free and paid subscription tiers. The current pricing, discounts and benefits applicable to each tier are those displayed on the Platform at the time of purchase.

Unless otherwise stated, subscription fees are billed in advance and are separate from fees for individual Services. A subscription provides access to the Platform and the benefits associated with the selected tier; individual Services are purchased separately.

6. Service Orders

When you submit a Service Order, you agree that:

  • you have provided accurate and complete information;
  • you will provide required documents, approvals and responses within applicable timeframes;
  • you are authorised to request the Service for the named person or entity;
  • the price quoted and accepted for the Service Order is binding, subject to any later agreed change; and
  • you will not use a Service for unlawful, fraudulent or misleading purposes.

Qubicle may decline a Service Order for compliance, capacity, legal, operational or policy reasons. If an accepted payment relates to an order that Qubicle subsequently declines before execution, Qubicle will initiate the applicable refund.

SLA timelines begin when Qubicle has received all information and documents reasonably required to begin execution. Delays caused by the User or by government agencies, regulators, banks or other external parties outside Qubicle's reasonable control may extend the applicable timeline.

7. Payments, Service Fulfilment and Review

Payments for Service Orders are payments to Qubicle as consideration for Services purchased from Qubicle. Qubicle does not provide Users with an escrow account, wallet, deposit account or stored-value account under these Terms, and Qubicle does not hold Service Order payments on behalf of a Professional Provider.

The intended payment and fulfilment process is:

  1. Service Order: You request and confirm a Service Order with Qubicle.
  2. Payment: You pay the quoted price to Qubicle through an approved payment processor or other payment method made available by Qubicle.
  3. Merchant Processing and Settlement: The payment processor processes the transaction and settles funds in accordance with Qubicle's merchant arrangement with that processor.
  4. Fulfilment: Qubicle assigns appropriate Qubicle Personnel and/or engages a vetted Professional Provider to perform or support the Service.
  5. Delivery: Qubicle delivers the completed Service, output or relevant milestone to you.
  6. Review: Where a Review Period applies, you have 72 hours after delivery notification to identify a material issue with the delivered Service.
  7. Completion: If no eligible issue is raised within the Review Period, or you approve the delivery earlier, Qubicle may mark the Service Order complete.
  8. Provider Payment: Any amount Qubicle pays to a Professional Provider is paid under Qubicle's separate commercial arrangement with that provider and is a cost of fulfilling Qubicle's Service obligation. It is not a release of money held by Qubicle for that provider on behalf of the User.

The price of a Service may include professional fees, government or third-party charges, technology, quality assurance, service management, administrative costs and Qubicle's commercial margin, as applicable.

8. Cancellations, Service Delivery Guarantee & Refunds

8.1 Cancellation Before Execution Begins

If you cancel a Service Order before substantive execution has begun, Qubicle may provide a full refund of the Service fee less any non-recoverable third-party costs already incurred for that Service Order.

8.2 Cancellation After Execution Has Begun

If execution has begun, Qubicle will assess the work completed and costs incurred. Any refund will reflect the undelivered portion of the Service and non-recoverable third-party costs, subject to applicable law.

8.3 Non-Delivery

Where Qubicle fails to deliver an eligible Service within the applicable SLA, after accounting for User-caused or third-party delays and any stated remediation period, Qubicle will provide the remedy or refund specified for that Service. Where a 100% money-back guarantee is expressly advertised for the Service, it applies subject to the stated eligibility conditions and exclusions.

8.4 Service Quality Issues

If you believe a delivered Service materially fails to meet the agreed specification, you must notify Qubicle within the applicable Review Period. Qubicle may review the work, request supporting information, remediate the Service, re-perform affected work, or issue an appropriate partial or full refund.

8.5 Refund Method

Approved refunds are initiated by Qubicle to the original payment method or through another lawful method agreed with the User, subject to payment processor and banking timelines.

9. Qubicle Personnel and Professional Provider Network

Qubicle may fulfil Service Orders using Qubicle Personnel, external Professional Providers, or a combination of both. Resource allocation may depend on the required skillset, location, licensing needs, workload, capacity, service volume and SLA.

Where Qubicle engages an external Professional Provider, Qubicle may conduct verification appropriate to the nature of the Service, which may include credential, professional-membership, reference, identity, capability or prior-work checks. In addition:

  • Professional Providers perform work for or on behalf of Qubicle under separate arrangements with Qubicle.
  • Users do not select or separately contract with a Professional Provider unless Qubicle expressly provides otherwise.
  • Qubicle may assign or reassign personnel or providers without changing the User's contract with Qubicle.
  • Qubicle remains responsible to the User for managing the Service Order, subject to these Terms.
  • Qubicle cannot guarantee decisions made by independent government bodies, regulators, financial institutions or other third parties.

10. Prohibited Activities and Compliance Holds

You must not use the Platform or Services to:

  • register or operate entities for fraudulent, money-laundering, sanctions-evasion or other unlawful purposes;
  • submit false, misleading, stolen, forged or unlawfully obtained documents or information;
  • reverse-engineer, scrape, interfere with or misuse the Platform;
  • violate applicable law, regulation or third-party rights; or
  • attempt to use Qubicle or its payment channels to move funds unrelated to a genuine Service Order.

Where Qubicle identifies suspected fraud, unlawful activity, sanctions exposure, payment abuse or another compliance concern, Qubicle may suspend the relevant Service Order, delay fulfilment, request additional information, restrict account access, initiate a refund where appropriate, or make any report required by law. Any action involving payment processing remains subject to the rules and lawful instructions of the relevant payment processor or financial institution.

11. Intellectual Property

The Qubicle brand, Platform, software, design, content and proprietary methodologies are owned by Qubicle or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Platform for your legitimate business purposes.

Unless otherwise agreed, Service deliverables created specifically for a User are provided for that User's use upon full payment and delivery, subject to third-party intellectual-property rights, licence terms and any reusable Qubicle materials.

12. Disclaimers & Limitation of Liability

To the fullest extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis. Qubicle does not guarantee decisions or timelines controlled by government agencies, regulators, banks or other third parties.

Qubicle will not be liable for indirect or consequential losses, loss of profits, loss of opportunity, or failures caused by events outside Qubicle's reasonable control, except where such exclusion is prohibited by law.

Subject to applicable law and any express Service-specific guarantee, Qubicle's aggregate liability to a User for claims arising from the Platform or Services will not exceed the fees paid by that User to Qubicle for the affected Service Order or, where the claim does not relate to a specific Service Order, the fees paid during the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify Qubicle MetaAdvisory Ltd, its officers, directors, employees and agents against claims, losses, liabilities and reasonable costs arising from your unlawful use of the Platform, false or misleading information supplied by you, or your violation of these Terms or third-party rights, to the extent permitted by law.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to Section 15, the courts of Nigeria have jurisdiction over disputes arising from these Terms or the Services.

15. Dispute Resolution

15.1 Internal Resolution

For any dispute concerning a Service Order, contact Qubicle support first at support@onqubicle.com. Qubicle will use reasonable efforts to investigate and resolve the issue within a reasonable period.

15.2 Arbitration

Where internal resolution is unsuccessful and arbitration is enforceable under applicable law, the dispute may be referred to arbitration in Lagos, Nigeria, under the applicable Lagos Court of Arbitration rules, unless the parties agree otherwise.

16. Changes to These Terms

Qubicle may amend these Terms from time to time. Material changes will be communicated in accordance with applicable law and will take effect on the date stated in the updated Terms.

Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platform and may cancel your subscription.

17. Pre-Launch Status

As of the date of this revision, Qubicle is in a pre-go-to-market and production deployment phase. The commercial application has not yet been publicly launched for general use, and the payment model described in these Terms is intended to govern production operations once launched. Qubicle may conduct internal testing, controlled demos or other pre-launch activities before commercial launch.
